A. THE OBJECTIVES TO BE PURSUED BY THE COMPANY ON ITS INCORPORATION ARE:

1. To working & fighting to protect for freedom of expression & speech, working for the Welfare, rights of media worldwide, professional development of reporters, writers, editors, journalists, publishers, correspondents, freelance writers, public relations professionals, photographers and other persons/ individuals/ orgnisation serving in the field of media sector, Non-profit orgnisation venture among independent producers and distributors, International pool of TV, Movie, Press (Print and electronic) and Television, Radio or any other mass media reporters worldwide and Ensuring Social, legal (Providing legal help) & financial protection of reporters & news orgnisations.

2. To raise the standards of reporters, Orgnising seminars, bringing coaching to reporters who needs feedback & training to increase their proficiency in the industry, dedicated to defending, protects, improves the rights and safety of the reporters & promotion of the media freedom worldwide.

3. To Protects and improves the rights of reporters, intellectuals & writers, tallies attack on reporters & documents the worst places to be the reporters.

4. To represent reporters in all sectors of media. The Journalism scene is increasingly dominated by the impact of media concentration and the influence of powerful media conglomerates around the world, there are concerns about attempts to loosen media ownership controls and there is growing concern for the future of the powerful tradition of public service broadcasting.

5. To focused on the development of independent and quality reporters in support of democratic, social and economic development and promotes media democracy programmes, independent unions and associations of reporters, reform of the legal environment, public service broadcasting, professional ethics through structures for self-regulation human rights and conflict reporting, and safety of reporters.

6. No objects of the company will be carried out without obtaining the prior approval/ No objection from then concerned authority, wherever required and / or prescribed.

7. None of the object of the company will be carried out on commercial basis.

8. The above objects will be undertaken solely for the welfare of the human being and any profit and income generated by the organization will not be used for the payment of dividend to the director’s or the shareholders. Whatever income or profit that will be generated will be used solely for the purpose of promoting the mentioned above objects. 3

B. MATTERS WHICH ARE NECESSARY FOR FURTHERANCE OF OBJECTS SPECIFIED IN CLAUSE 3rd (A) ARE:

1. To irradiacare discrimination and unnecessarily norms in Indian society to build notional unity National Integration, social equality and loyalty science as well as social, educational, cultural, religious, health, economic, selfemployment, reliable, indigenous, bahujan, patrakark bhavan, journalist colon, journalist usefare, cultural building, building, public welfare, library, gender gymnasium, publicity, unemployed, publications, animal husbandry, protection also preserving gender equality.

2. To Raising voice against injustice, oppression and corruptions and committees in every state, in every taluka, in every village level in every state of India ( 1 president, 4 vice president, 1 general secretary, 4 secretory’s, 1 treasure, 1 organizer, 1 publicist, 1 advisor, 1 public related officer, 1 speaker, 1 coordinator ) Establishing and maintain branches.

3. To celebrate “Swabhiman Patrakar diwas” this day on 9th February like salabad. Also establishment and preservation of “Swabhiman University”.

4. To Implementation and preservation of anti-criminal and anti-corruption movement.

5. To implement and gave landless and agricultural labour, peoples movement recruitment campaign, farmers electricity will exemption and employment liberation peoples movement recruitment campaign.

6. To Expansion of RPS INTERNATIONAL PRESS REPORTER ASSOCIATION branches, implementing recruitment campaign and savings and women new journalists, implementation of member registration campaign and preservation. Also honour and reward the citizens working in different fields by giving various awards.

7. To Involvement of old journalist, selection of new journalists, implementation of member registration campaign and preservation.

8. To organize implement and saving public relations recruitment campaigns (Associates and cooperative by Expansion of RPS INTERNATIONAL PRESS REPORTER ASSOCIATION). To operate, provide and preserve national, state, district and taluka journalist awards. 4

9. To every state, in every district, in every taluka and in every village level in all India level. To start Expansion of RPS INTERNATIONAL PRESS REPORTER ASSOCIATION.

10. To establish journalism and mas’ media communication school and construction and preservation of orphanages and old age homes.

11. To make women self-reliant, to protect them against injustice and oppression and to teach them to protect themselves by getting justice etc.

12. To stop deforestation, to cultivate plants, preserve and grow trees plantation and according to the indian constitution, the departments are working for the benefit of the citizens in the country for unity, integrity, independence, development, peace and prosperity and for the government e.g. To actively assist the CBI, Anti Corruption Bureau, courts.

13. To actively assist the police and anti terrorist squads in eradication organized crime and terrorism in the country for the benefits of the citizens as per the Indian constitution.

14. To eradicate corruption means e.g. physical, mental, social etc. and to start agitation behalf of the citizens.

15. To implement various schemes of public interest with the help of governmental, semi-governmental and non-governmental organization and to make efforts to fulfill the above objectives.

16. To stop Corruptions between government and citizen be it financial ideological and injustice be it physical, mental, economic or social. Thought our action is yours under this public awareness and agitation against it.

17. To provide Food, clothing, shelter, medicine, etc to help human begins and animals affected by natural disasters’.

18. To make Helping and working for the protection of windows, orphans, unmarried mother and destitute unemployed women.

19. To provide security, dignity, employment etc. to the victims of corruption and injustice.

20. To Establishment of branches in municipal, Tehsil, Panchayat and Gram Panchayat, National and International levels all over india to fight against corruption, and injustice and oppression.

21. To implementing various schemes with the help of government e.g. AIDS awareness, blood donation camps, social programs, cultural programs, adult education, free planting, industrial programs etc.

22. To open accounts in Banks and to draw, accept, take and endorse, discount and negotiate bills of exchange, bills of lading, hundies, promissory notes and other negotiable instruments connected with business of the Company.

23. To take over the assets and liabilities of any exiting business concern carrying on with similar objects as that of the company either on its dissolution or by absorption of in amalgamation with or otherwise.

24. To acquire and undertake the whole or any part of the business property and liabilities of any person, firm or any company carrying on any business which the company is authorized to carry on or possessed of property suitable for the purpose of the company.

25. To obtain license, approvals and authorization from Government, Statutory and Regulatory Authorities, as may be necessary to carry out and achieve the Objects of the Company and connected matters which may seem expedient to develop the business interests of the Company in India and abroad.

26. The Company can be amalgamated only with another company registered under section 8 of the Act and having similar objects.

27. To train and pay for the training of the company's employees or to recruit and employ experts, advisors, consultants in the interest of achieving the Company's objects.

28. To enter into contracts of indemnity and get guarantee and allocations for the business of the Company.

29. To insure any of the rights, properties, undertakings, contracts, guarantees or obligations or profits of the Company of every nature and kind in any manner with any person, firm, association or company for the business of the Company.

30. To apply for purchase or otherwise acquire any trademarks, patents, brevets inventions, licenses, concessions and the like conferring an exclusive or nonexclusive or limited right to use, or any secret or other information as to any invention which may seem capable of being used for the purposes of the Company, or acquisition of which may seem calculated directly or indirectly, to benefit the Company and to use, exercise, develop or grant licenses in respect of or otherwise turn to account the property, rights, or information so acquired for the benefit of the Company.

31. To pay out of the funds of the Company all costs, charges, expenses and preliminary and incidental to the promotion, formation, establishment and registration of the Company or other expenses incurred in this regard.

32. To institute, conduct, defend, compound or abandon any legal proceedings by or against the Company or its officers or otherwise concerning the affairs of the Company and also to compound and to allow time for payment or satisfaction of any debts or recovery due, claims or demands by or against the Company, and to refer any claims or demands by or against the Company or any differences arising in execution of contracts to Arbitration and observe and challenge any awards made in the interest of the Company and in particular by advertising in the press, by circulars and publication of books and periodicals.

33. Subject to provisions of the Companies Act-2013, to contribute money or otherwise assist to charitable, benevolent, religious, scientific, national, public or other institutions or objects or purposes.

34. To advance money with or without security or give credit to such persons, companies, corporations, or firms and on such terms as may seem expedient and in particular to its customers and others having dealing with the company provided that the company shall not carry on the business of banking as defined under the Banking Companies Regulation Act 1949 and to release or discharge any debt or obligation owing to the company.

35. To make donations either in cash or in kind for such objects or causes as may be directly or indirectly conducive to any of the Company's objects or otherwise expedient, subject to the provisions of the Companies Act, 2013.

36. To guarantee for the performance or discharge of any contracts or obligations, liabilities, duties or the payment or repayment of any money by any person, firm or company, including such companies, which are or may come under the management or control of the company or Governments of States and also to give indemnity or guarantee that may be made by or on behalf of such company and if thought fit to secure or support such guarantee by mortgage, pledge or hypothecate any properties of the company as security for any advance to be made or any debt or obligations of any person, firm or company.

37. To establish and maintain agencies, branch offices and local agencies, to procure registration or recognition of the Company and to carry on business in any part of India and world and to take such steps as may be necessary to give the Company such rights and privileges in any part of the world as deemed proper in the interest of the Company.

38. To purchase or import, take on lease or in exchange, hire or otherwise acquire any movable or immovable property and any rights or privileges which the Company may think necessary or convenient for the purposes of its business and in particular any land, buildings, easements, machinery, plant and stock in-trade.

39. Not being member to establish or support or aid in the establishment and support of associations, institutions, funds, trusts and conveniences for the benefit of past or present employees or directors of the Company or the dependents of such persons and to grant pensions and allowances to make payments towards insurance to subscribe or guarantee money for charitable or benevolent objects or useful objects for general public.

40. To establish or support associations, institutions, schools, hospitals, guest houses, clubs, funds and trusts which may be considered beneficial to any employees or ex-employees and to officers and ex-officers of the Company or the dependents of any such person. 8 The doing of all other lawful things as considered necessary for the furtherance of the above objects Provided that the Company shall not support with its funds or endeavour to impose on, or procure to be observed by, its members or others, any regulation or restriction which, if an object of the company would make it a Trade Union. 4. The objects of the company extend to the all over India. 5. i. The profits, if any, or other income and property of the company, when so ever derived, shall be applied, solely for the promotion of its objects as set forth in this memorandum. ii. No portion of the profits, other income or property aforesaid shall be paid or transferred, directly or indirectly, by way of dividend, bonus or otherwise by way of profit, to persons who, at any time are, or have been, members of the company or to any one or more of them or to any persons claiming through any one or more of them. iii. No remuneration or other benefit in money or money’s worth shall be given by the company to any of its members, whether officers or members of the company or not, except payment of out-of-pocket expenses, reasonable and proper interest on money lent, or reasonable and proper rent on premises let to the company. iv. Nothing in this clause shall prevent the payment by the company in good faith of prudent remuneration to any of its officers or servants (not being members) or to any other person (not being member), in return for any services actually rendered to the company. v. Nothing in clauses (iii) and (iv) shall prevent the payment by the company in good faith of prudent remuneration to any of its members in return for any services (not being services of a kind which are required to be rendered by a member), actually rendered to the company; 6. No alteration shall be made to this memorandum of association or to the articles of association of the company which are for the time being in force, unless the alteration has been previously submitted to and approved by the Registrar of Companies, Western Region, Ministry of Company Affairs, Maharashtra, Pune. 9 7. The Liability of the members is Limited. 8. The Share Capital of the Company is Rs. 30,000/- (Rupees Thirty Thousand Only) divided into 3000 (Three Thousand) Equity Shares of Rs. 10/- (Rupees Ten Only) each. 9. True accounts shall be kept of all sums of money received and expended by the company and the matters in respect of which such receipts and expenditure take place, and of the property, s and liabilities of the company; and, subject to any reasonable restrictions as to the time and manner of inspecting the same that may be imposed in accordance with the regulations of the company for the time being in force, the accounts shall be open to the inspection of the members. Once at least in every year, the accounts of the company shall be examined and the correctness of the balance-sheet and the income and expenditure account ascertained by one or more properly qualified auditor or auditors. 10. If upon a winding up or dissolution of the company, there remains, after the satisfaction of all the debts and liabilities, any property whatsoever, the same shall not be distributed amongst the members of the company but shall be given or transferred to such other company having objects similar to the objects of this company, subject to such conditions as the Tribunal or the relevant authority may impose, or may be sold and proceeds thereof credited to the Rehabilitation and Insolvency Fund formed under section 269 of Companies Act, 2013. 11. The Company can be amalgamated only with another company registered under section 8 of the Act and having similar objects.
